These Terms and Conditions ("Terms") govern your access to and use of the website at www.deneb.work.gd ("Site") and all technology services provided by Deneb ("we", "us", "our"), a company operating in Pakistan.
By accessing our Site or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our Site or services. These Terms are governed by the laws of the Islamic Republic of Pakistan, including the Prevention of Electronic Crimes Act, 2016 (PECA), the Electronic Transactions Ordinance, 2002 (ETO), and all other applicable Pakistani legislation.
1. Services
Deneb provides web development, AI chatbot development, and AI agent development services to businesses and individuals. Specific scope, deliverables, timelines, and fees for any engagement are agreed upon separately in a written proposal, agreement, or contract between Deneb and the client.
2. Use of the Website
You agree to use this Site only for lawful purposes and in a manner consistent with applicable Pakistani law and international law. You must not:
- Use the Site in any way that violates PECA 2016 or any other applicable law
- Transmit any unsolicited or unauthorised advertising or promotional material
- Attempt to gain unauthorised access to any part of the Site, its servers, or any connected system
- Knowingly transmit any data, send or upload any material that contains viruses, malware, or any other harmful code
- Reproduce, duplicate, copy, or resell any part of the Site in contravention of these Terms
- Use the Site to harass, threaten, defame, or harm any person
- Engage in any conduct that disrupts or damages the Site or our reputation
3. Intellectual Property
3.1 Our Content
All content on this Site — including but not limited to text, graphics, logos, icons, images, design, and code — is the property of Deneb or its licensors and is protected under the Copyright Ordinance, 1962 (as amended) and applicable international intellectual property law. You may not reproduce, distribute, or create derivative works from any content on this Site without our prior written permission.
3.2 Client Work Product
Unless otherwise agreed in a written contract, upon full payment of all fees, intellectual property rights in deliverables specifically created for a client will transfer to that client. Deneb retains the right to use general knowledge, skills, frameworks, and non-client-specific tools developed during any engagement.
3.3 Portfolio Use
Unless a client explicitly requests otherwise in writing, Deneb reserves the right to reference completed projects in our portfolio, case studies, and marketing materials, without disclosing confidential client information.
4. Client Responsibilities
When engaging Deneb's services, clients are responsible for:
- Providing accurate, complete, and timely information required to deliver the agreed services
- Ensuring that any content, materials, or data provided to us does not infringe any third-party rights
- Obtaining all necessary licences, permissions, and consents for any third-party materials to be incorporated into deliverables
- Timely review and approval of deliverables as agreed in the project timeline
- Payment of all agreed fees by the dates specified in the proposal or agreement
5. Payment Terms
All fees for services are as agreed in individual project proposals or contracts. Unless otherwise stated:
- A deposit (typically 50%) is required before work commences
- The remaining balance is due upon project completion or as per agreed milestones
- Payments are non-refundable once work has commenced, except where Deneb fails to deliver as agreed
- Deneb reserves the right to pause or withhold delivery of work in the event of non-payment
6. Confidentiality
Both parties agree to keep confidential any proprietary information disclosed during the course of a project engagement. This obligation survives the termination of any agreement for a period of two (2) years, unless the information becomes publicly available through no fault of the receiving party.
7. Warranties and Disclaimers
Deneb warrants that services will be performed with reasonable skill and care. However, to the fullest extent permitted by Pakistani law:
- The Site and its content are provided "as is" without warranties of any kind, express or implied
- We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components
- We do not guarantee specific business results from the use of our services
- Third-party services, APIs, or platforms integrated into deliverables are subject to their own terms and may change without notice
8. Limitation of Liability
To the maximum extent permitted by the laws of Pakistan, Deneb shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Site or our services, even if Deneb has been advised of the possibility of such damages.
Our total liability to any client for any claim arising from a service engagement shall not exceed the total fees paid by that client for the specific project giving rise to the claim.
9. Termination
Either party may terminate a service engagement by providing written notice, subject to the terms of any signed agreement. In the event of termination:
- The client is liable for payment for all work completed up to the date of termination
- Deneb will provide all completed work to the client upon receipt of outstanding payment
- Clauses relating to intellectual property, confidentiality, limitation of liability, and governing law shall survive termination
10. Links to Third-Party Websites
Our Site may contain links to external websites. These links are provided for your convenience only. We have no control over the content of those sites and accept no responsibility for them or any loss or damage that may arise from your use of them.
11. Governing Law and Jurisdiction
These Terms and any dispute or claim arising from or in connection with them shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan. Any disputes shall be subject to the exclusive jurisdiction of the competent courts of Pakistan. Where applicable, parties agree to first attempt resolution through good-faith negotiation before commencing formal proceedings.
12. Amendments
We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated date. Continued use of the Site after changes constitutes your acceptance of the revised Terms.
13. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable under Pakistani law, the remaining provisions shall continue in full force and effect.
